1. Agreement to Terms
By accessing or using the Origineer Consulting website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services. These terms apply to all visitors, users, and clients of Origineer Consulting.
2. Services Description
Origineer Consulting provides systems integration, legacy modernization, and AI commercialization consulting services. Our services include but are not limited to: discovery and assessment, strategy development, systems architecture, implementation support, and optimization services. Specific deliverables and scope are defined in individual service agreements.
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information necessary for service delivery
- Grant reasonable access to systems, documentation, and personnel as required
- Respond to communications and requests in a timely manner
- Make payments according to agreed-upon terms
- Comply with all applicable laws and regulations
- Maintain confidentiality of any proprietary methodologies shared
4. Intellectual Property
Our Property: All content on this website, including text, graphics, logos, and software, is the property of Origineer Consulting and protected by intellectual property laws. Our methodologies, frameworks, and tools remain our exclusive property.
Client Deliverables: Unless otherwise specified in a service agreement, deliverables created specifically for clients become client property upon full payment. Pre-existing materials and general knowledge remain with Origineer Consulting.
Client Data: You retain all rights to your data. We do not claim ownership of any information you provide to us.
5. Confidentiality
We treat all client information as confidential. We will not disclose your business information, systems details, or strategic plans to third parties without your consent, except as required by law. Specific confidentiality terms may be detailed in individual service agreements or Non-Disclosure Agreements (NDAs).
6. Payment Terms
Payment terms are specified in individual service agreements and may include:
- Project-based fixed fees with milestone payments
- Retainer arrangements with monthly invoicing
- Time and materials billing
Unless otherwise agreed, invoices are due within 30 days of issue. Late payments may incur interest charges as specified in the service agreement.
7. Limitation of Liability
To the maximum extent permitted by law:
- Our services are provided "as is" without warranties of any kind, express or implied
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability shall not exceed the fees paid for the specific services giving rise to the claim
- We are not responsible for delays or failures caused by circumstances beyond our reasonable control
8. Indemnification
You agree to indemnify and hold harmless Origineer Consulting, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.
9. Termination
Either party may terminate services according to the terms specified in the service agreement. Upon termination, you remain responsible for payment of services rendered. We will return or destroy confidential information as specified in your agreement.
10. Website Use
When using our website, you agree not to:
- Use the site for any unlawful purpose
- Attempt to gain unauthorized access to any systems
- Interfere with the proper functioning of the website
- Copy, modify, or distribute our content without permission
- Use automated systems to access the site without our consent
11. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of British Columbia, Canada. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of British Columbia.
